1. Sponsor
This giveaway (“Giveaway”) is sponsored by Wings Over, Inc. (“Sponsor”).
2. Eligibility
The Giveaway is open only to natural persons who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is greater, at the time of entry. Employees, officers, and directors of Sponsor, its affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and members of their immediate families or households are not eligible to participate. All federal, state, provincial, territorial, and local laws and regulations apply.
3. Entry Requirements
To enter, participants must submit a video (“Submission”) in accordance with the instructions provided in the Giveaway announcement. Submissions must be received during the entry period specified. Late, incomplete, illegible, corrupted, or misdirected entries are void and will not be considered.
4. Intellectual Property Rights & License
By entering this Giveaway and submitting a Submission, each participant hereby represents and warrants that:
(a) the Submission is the participant’s original work, created solely by the participant, and does not infringe or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party; and
(b) the participant has obtained all rights, licenses, permissions, and consents necessary to submit the Submission and to grant the rights set forth herein.
License Grant: By submitting a Submission, each participant irrevocably grants to Sponsor and its affiliates, licensees, successors, and assigns a perpetual, worldwide, royalty-free, fully transferable, irrevocable, sublicensable, unlimited license to use, reproduce, edit, adapt, modify, publish, translate, create derivative works from, distribute, transmit, broadcast, display, and otherwise exploit the Submission, in whole or in part, in any and all media now known or hereafter devised, for any and all purposes whatsoever, including but not limited to advertising, publicity, marketing, commercial use, and promotion, without further notice, approval, attribution, or compensation to the participant.
Each participant expressly waives and releases any and all “moral rights,” “droit moral,” or similar rights that may exist in the Submission, in perpetuity.
5. Prize
Winner(s) will receive the prize(s) described in the Giveaway announcement. Prizes are non-transferable and no substitution is permitted except at the Sponsor’s sole discretion. All federal, state, and local taxes, as well as any other costs and expenses associated with acceptance or use of the prize, are the sole responsibility of the winner.
6. Winner Selection and Notification
Winner(s) will be selected as per the Sponsors discretion. Sponsor’s decisions are final and binding on all matters relating to the Giveaway. Winner(s) will be notified via Instagram direct message or other method designated by Sponsor. If a potential winner does not respond within 48 hours, fails to comply with these Terms, or is otherwise disqualified, Sponsor may, in its sole discretion, select an alternate winner.
7. Release & Indemnification
By participating, each entrant agrees to release, indemnify, defend, and hold harmless Sponsor, Instagram, and their respective affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) participation in the Giveaway; (b) any Submission; or (c) acceptance, possession, use, or misuse of any prize.
8. General Conditions
Sponsor reserves the right, in its sole discretion, to cancel, modify, suspend, or terminate the Giveaway should fraud, technical failures, human error, or any other cause beyond Sponsor’s control impair the integrity, security, or proper operation of the Giveaway. Sponsor further reserves the right, in its sole discretion, to disqualify any individual found to have tampered with the entry process or to be acting in violation of these Terms or in a disruptive or unsportsmanlike manner.
9. No Affiliation with Instagram
This Giveaway is in no way sponsored, endorsed, administered by, or associated with Instagram. By participating, you understand you are providing your information to Sponsor and not to Instagram.
10. Governing Law
All disputes arising under or relating to these Terms shall be governed by the laws of the New York without regard to conflict of law principles. Participant agrees that any and all disputes shall be resolved exclusively in the state and federal courts located in Southern District of New York, and participant hereby consents to personal jurisdiction and venue therein.
11. Entire Agreement
These Terms constitute the entire agreement between participant and Sponsor with respect to the Giveaway and supersede any prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the Giveaway.
